INDsocial Terms of Service

  1. INTRODUCTION AND APPLICABILITY

    1.1 These Terms of Service ("Terms") govern Your access to and use of "INDsocial", a social, content-sharing and community feature embedded within the INDmoney mobile application (the "App"). INDsocial and the App are owned, operated, and developed by INDmoney Tech Private Limited, a company incorporated under the Companies Act, 2013, having its registered office at 616, 6th Floor Suncity Success Tower, Sector 65, Gurugram, Haryana-122005 (the "Company", "We", "Us", "Our", or "INDmoney").

    1.2 By accessing, registering on, or otherwise using INDsocial in any manner, You ("User", "You", "Your") signify Your unconditional acceptance of these Terms, the INDmoney Privacy Policy, the App Terms and Conditions, the INDsocial community guidelines, and any additional policies, notices, FAQs, or rules published by INDmoney from time to time (collectively, the "Agreement"). If You do not agree, You must not access or use INDsocial.

    1.3 These Terms are in addition to, and not in derogation of, the general Terms and Conditions and Privacy Policy applicable to the App and to other products and services offered via the App (including without limitation Indian stock broking, US stock investments, mutual fund investments, fixed deposits, bonds, NPS, networth tracking, and any other current or future financial product or service made available via the App) (collectively, "Other Services"). In the event of any conflict between these Terms and the general App Terms with respect to INDsocial only, these Terms shall prevail to the extent of the conflict.

    1.4 These Terms constitute an "electronic record" within the meaning of the Information Technology Act, 2000 and the rules made thereunder, and do not require any physical, electronic, or digital signature. This is a legally binding agreement between You and the Company.

  2. DEFINITIONS
    1. "Applicable Law" means all applicable Indian and foreign statutes, rules, regulations, circulars, master directions, notifications, byelaws, and guidelines, including those of the Securities and Exchange Board of India ("SEBI"), Reserve Bank of India ("RBI"), recognised Stock Exchanges, Depositories, the Information Technology Act, 2000 and the rules thereunder (including the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021), the Bharatiya Nyaya Sanhita, 2023, the Consumer Protection Act, 2019, the Digital Personal Data Protection Act, 2023, and applicable taxation laws.
    2. "Content" means any text, image, photograph, video, audio, link, opinion, review, comment, message, screenshot, profit-and-loss ("PnL") statement, trade information, holding/portfolio information, return claim, chart, view, idea, meme, sticker, emoji, hashtag, or any other material or information posted, uploaded, transmitted, shared, or otherwise made available on or through INDsocial.
    3. "Group Companies" means INDmoney Tech Private Limited, together with its subsidiaries, affiliates, and group entities.
    4. "Other Services" has the meaning ascribed in Clause 1.3.
    5. "User Content" means Content created, posted, submitted, or made available by Users (including You) on or through INDsocial.
    6. "Verified Badge" means a visual marker that may be displayed on certain User profiles indicating that the Company has performed a limited verification of certain identity-related particulars of such User.
    7. "Broking Data Sources" has the meaning ascribed in Clause 12.1.
    8. "Broking Data" has the meaning ascribed in Clause 12.2(b).
    9. "DPDP Act" means the Digital Personal Data Protection Act, 2023, together with the rules notified thereunder, as amended from time to time.
    10. "Personal Data" has the meaning ascribed in Clause 13.3.
  3. ELIGIBILITY

    3.1 You represent, warrant, and undertake that:

    1. You are not a person disqualified or barred from receiving services under Applicable Law;
    2. You have not previously been suspended, removed, or blocked from INDsocial, the App, or any service of the Company or its Group Companies;
    3. All information provided by You is true, accurate, current, and complete, and You shall keep it so;
    4. You shall comply with all Applicable Law in connection with Your use of INDsocial; and
    5. Where applicable, You have all internal authorisations and consents to use INDsocial in a manner consistent with Your employment, regulatory, fiduciary, or other obligations (including those applicable to insiders, designated persons, public servants, employees of regulated entities, listed-company employees, and journalists).
  4. NATURE OF INDSOCIAL

    4.1 INDsocial is solely a technology platform that enables Users to publish, share, view, react to, and interact with User Content. INDsocial is not a stock broker, investment adviser, research analyst, portfolio manager, mutual fund distributor, merchant banker, or any other SEBI/RBI-regulated intermediary, and through INDsocial the Company does not provide any investment advice, research, recommendation, solicitation, or offer to buy, sell, or deal in any security or financial product.

    4.2 The Company acts as an "intermediary" within the meaning of Section 2(1)(w) of the Information Technology Act, 2000, in respect of User Content posted on INDsocial. The Company merely provides access to a communication system over which information made available by Users is transmitted, stored, hosted, or made available, and exercises the rights and protections available to intermediaries under Applicable Law, including the safe-harbour protection under Section 79 of the Information Technology Act, 2000.

    4.3 The Company does not edit, endorse, sponsor, certify, vet, vouch for, approve, recommend, or otherwise warrant the accuracy, completeness, reliability, suitability, legality, or non-infringement of any User Content. Views, opinions, PnL screenshots, trade ideas, portfolios, returns, screenshots of holdings, and any other statements made by Users on INDsocial are strictly the personal views of the individual User and do not represent the views, advice, or recommendation of the Company, its Group Companies, or their respective directors, officers, employees, or agents.

    4.4 You acknowledge and accept that User Content (including PnL claims, returns, trade screenshots, holdings, and "performance" claims) may be selectively presented by the User and must not be relied upon as the basis for any investment, financial, or commercial decision.

    4.5 The Company expressly reserves the right (but undertakes no obligation) to monitor, review, screen, label, remove, restrict, deplatform, mute, or disable any Content, account, or User at its sole discretion, with or without notice, and without liability. Exercise of (or failure to exercise) such right does not constitute endorsement of, or responsibility for, any Content.

  5. NO INVESTMENT ADVICE

    5.1 INVESTMENTS IN SECURITIES MARKETS ARE SUBJECT TO MARKET RISKS. READ ALL THE RELATED DOCUMENTS CAREFULLY BEFORE INVESTING. PAST PERFORMANCE IS NOT INDICATIVE OF, AND DOES NOT GUARANTEE, FUTURE RETURNS. THE VALUE OF INVESTMENTS AND ANY INCOME FROM THEM CAN GO DOWN AS WELL AS UP, AND YOU MAY NOT GET BACK THE AMOUNT ORIGINALLY INVESTED.

    5.2 Nothing on INDsocial – including any User Content, profile, follower count, Verified Badge, aggregation, or feed surface – shall be construed as, or relied upon as:

    1. investment advice within the meaning of the SEBI (Investment Advisers) Regulations, 2013;
    2. research analyst services within the meaning of the SEBI (Research Analysts) Regulations, 2014;
    3. a recommendation, solicitation, offer, or invitation to buy, sell, hold, or otherwise deal in any security or financial product;
    4. a forecast, projection, or assurance of any return, profit, or outcome; or
    5. financial, tax, legal, or accounting advice of any kind.

    5.3 You are strongly advised to:

    1. undertake an independent risk assessment of Your investment objectives, financial situation, risk tolerance, tax position, and particular needs;
    2. carefully read all offer documents, scheme information documents, key information documents, risk disclosure documents, and other regulatory documents before investing; and
    3. consult a SEBI-registered Investment Adviser, SEBI-registered Research Analyst, or other appropriately qualified and licensed professional before taking any investment decision based on, influenced by, or arising from any Content viewed on INDsocial.

    5.4 The Company, its Group Companies, and their respective directors, officers, employees, and agents shall not be liable for any decision made, action taken, or omission by You or any third party in reliance on any Content on INDsocial, or for any direct, indirect, incidental, consequential, special, exemplary, or punitive loss (including without limitation loss of profit, trading loss, opportunity cost, or tax liability) arising in connection therewith.

    5.5 You are solely responsible for compliance with all Applicable Law in connection with Your Content and Your conduct on INDsocial, including without limitation:

    1. the SEBI (Prohibition of Insider Trading) Regulations, 2015, You shall not post, transmit, or share any unpublished price-sensitive information, nor "tip" any person;
    2. the SEBI (Prohibition of Fraudulent and Unfair Trade Practices Relating to Securities Market) Regulations, 2003, You shall not engage in any manipulative, fraudulent, misleading, or "pump-and-dump" conduct, or post any false or misleading information about any security;
    3. advertising and disclosure codes of SEBI, exchanges, AMFI, and similar bodies, if You are a SEBI-/AMFI-registered intermediary, finfluencer, or distributor, You shall comply with all applicable advertising, disclosure, and risk-warning requirements; and
    4. any restrictions on communication or trading applicable to You as an employee, officer, director, designated person, insider, fiduciary, or representative of any listed entity, regulated entity, government body, or other organisation.

    5.6 If You are not a SEBI-registered Investment Adviser or Research Analyst, You shall not hold Yourself out as such, and You shall not provide personalised investment advice, recommendations, or solicitations to other Users. The Company reserves the right to require, label, restrict, or block content from Users making advice-like, recommendation-like, or solicitation-like statements.

  6. VERIFIED BADGE: SCOPE AND LIMITATIONS

    6.1 The Company may, at its sole and absolute discretion, grant, deny, suspend, modify, or revoke a Verified Badge on a User's profile. The Verified Badge is provided for limited, identity-related verification purposes only, on a best-effort basis and based on information made available to the Company at the relevant time.

    6.2 The Verified Badge does NOT, in any manner whatsoever, signify, imply, or constitute:

    1. any association, affiliation, employment, agency, partnership, joint venture, sponsorship, endorsement, recommendation, or business relationship between the User and the Company or any of its Group Companies;
    2. any approval, accreditation, certification, registration, licensing, or authorisation of the User by SEBI, any Stock Exchange, any Depository, AMFI, RBI, or any other regulator, self-regulatory organisation, or industry body;
    3. any verification, endorsement, certification, or warranty by the Company of the User's investment skill, trading performance, PnL claims, returns claims, recommendations, advice, qualifications, credentials, regulatory status, or the accuracy, reliability, or merits of any Content posted by such User;
    4. that the User is a SEBI-registered Investment Adviser, SEBI-registered Research Analyst, SEBI-registered Stock Broker, AMFI-registered Mutual Fund Distributor, or any other registered/licensed financial intermediary (unless such status is separately, expressly, and verifiably disclosed by the User and independently confirmed by You); or
    5. any guarantee, assurance, or representation of any return, profit, or outcome from following, copying, or relying on the User's Content.

    6.3 You shall not rely on the presence of a Verified Badge as a basis for any investment, financial, or commercial decision or for any belief regarding the trustworthiness of Content posted by the relevant User. The Company reserves the right to grant, deny, suspend, modify, or revoke Verified Badges at any time, in its sole discretion, without notice and without liability.

    6.4 Use of any Company name, logo, mark, trade dress, or any indicator (including the Verified Badge) by a User in a manner that suggests false association with the Company or its Group Companies is strictly prohibited and may result in immediate termination and legal action.

  7. USER ACCOUNT AND USER CONDUCT

    7.1 You are responsible for maintaining the confidentiality of Your login credentials and for all activity under Your account. You shall promptly notify the Company of any unauthorised use or suspected security breach.

    7.2 You agree not to post, upload, transmit, share, distribute, or otherwise make available any Content that:

    1. belongs to another person and to which You do not have any right;
    2. is grossly harmful, harassing, blasphemous, defamatory, obscene, pornographic, paedophilic, libellous, invasive of another's privacy (including bodily privacy), insulting or harassing on the basis of gender, hateful, racially or ethnically objectionable, disparaging, relating or encouraging money laundering or gambling, or otherwise unlawful in any manner whatsoever (including Content prohibited under Rule 3(1)(b) of the IT (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021);
    3. is harmful to children in any way;
    4. infringes any patent, trademark, copyright, or other proprietary or intellectual property right;
    5. violates any Applicable Law, including SEBI regulations, exchange byelaws, anti-money-laundering laws, foreign exchange laws, or tax laws;
    6. constitutes investment advice, research, recommendation, or solicitation to buy or sell securities by a person not duly registered with SEBI / AMFI to provide such advice/research;
    7. contains, references, hints at, or tips any insider information, unpublished price-sensitive information, or material non-public information;
    8. is intended to, or has the effect of, manipulating the market or the price/volume of any security, including pump-and-dump schemes, false rumour-mongering, coordinated trading calls, or "operator" calls;
    9. impersonates or seeks to impersonate any person or entity, falsely states or misrepresents Your affiliation with any person or entity (including the Company, its Group Companies, SEBI, exchanges, depositories, or any regulator), or uses misleading headers, names, or identifiers;
    10. contains any virus, worm, malware, trojan, spyware, ransomware, or other harmful code, or any software or device intended to interfere with INDsocial;
    11. is materially misleading or deceptive, including fabricated PnL, doctored screenshots, exaggerated return claims, or fake testimonials;
    12. solicits personal, financial, or sensitive information from minors or any other person without authorisation;
    13. threatens the unity, integrity, defence, security, or sovereignty of India, friendly relations with foreign States, or public order, causes incitement to the commission of any cognisable offence, prevents investigation of any offence, or is insulting to any other nation;
    14. is patently false or untrue, written or published in any form with the intent to mislead or harass a person, entity, or agency for financial gain or to cause injury;
    15. promotes illegal activities, gambling, unauthorised lotteries, prohibited products, or any activity restricted under Applicable Law;
    16. constitutes spam, unsolicited advertising, chain letters, pyramid or referral schemes (other than referral programs operated or expressly authorised by the Company), or other commercial solicitation not expressly authorised by the Company;
    17. solicits funds, deposits, or payments from any User for any investment or trading scheme; or
    18. impersonates or falsely claims affiliation with SEBI, exchanges, depositories, RBI, regulators, the Company, or its Group Companies.

    7.3 You further agree not to:

    1. reverse-engineer, decompile, disassemble, scrape, crawl, or otherwise extract source code, data, or content from INDsocial except as expressly permitted by Applicable Law;
    2. interfere with, disrupt, or impose an unreasonable load on INDsocial or any of its servers, networks, or systems;
    3. use any robot, spider, crawler, scraper, or automated means to access INDsocial;
    4. circumvent or attempt to circumvent any security, authentication, or access controls;
    5. collect or harvest information about other Users without their consent;
    6. use INDsocial to defame, stalk, harass, threaten, dox, or harm any person; or
    7. use INDsocial for any commercial purpose other than as expressly permitted by these Terms.

    7.4 Breach of this Clause 7 may result in (without limitation) takedown of Content, suspension or termination of Your account, reporting to law enforcement and regulators, and civil and/or criminal proceedings.

  8. ZERO-TOLERANCE, MODERATION, AND REPORTING POLICY

    8.1 Zero-tolerance policy. The Company maintains a zero-tolerance policy for objectionable Content and abusive User behaviour, including harassment, hate speech, sexual or violent content, threats, illegal activity, impersonation, and any Content prohibited under Clause 7.2.

    8.2 In-App reporting. Every User has an in-App ability to flag and report any Content or User profile believed to be objectionable, abusive, infringing, fraudulent, or in violation of these Terms, by using the in-product "Report" function. Each report should describe the nature of the concern and may attach supporting information.

    8.3 In-App blocking. Every User has an in-App ability to block any other User. Once blocked, the blocking User will no longer see Content from the blocked User and vice versa within INDsocial.

    8.4 Upon receipt of a credible report of objectionable Content or abusive User behaviour, the Company shall use commercially reasonable efforts to review and, where appropriate, remove the Content and/or suspend/terminate the offending User within twenty-four (24) hours, or within such other timeline as required under Applicable Law (whichever is shorter).

    8.5 The Company on best effort basis implements technical and human content-moderation mechanisms (which may include automated filters, keyword-detection, AI-based classifiers, and human review) to detect, screen, and remove objectionable Content.

    8.6 The Company reserves the right to permanently suspend or terminate the accounts of Users who post (whether repeatedly, or even once in a sufficiently serious instance) objectionable, illegal, abusive, or harmful Content.

    8.7 Reports and complaints relating to Content may also be submitted via the contact channels published in Clause 17 (Grievance Redressal).

    8.8 No tolerance for objectionable behaviour. By using INDsocial, You agree to abide by the above standards. The Company's enforcement is intended to comply with applicable App-store guidelines and Indian law; nothing herein shall be construed as a waiver of the Company's intermediary safe-harbour rights.

  9. SHARING CONTENT OUTSIDE INDSOCIAL

    9.1 INDsocial may permit Users to share Content outside INDsocial, including via social-media platforms, messaging apps, links, deep-links, or downloads.

    9.2 When You share Content outside INDsocial:

    1. You are solely responsible for ensuring that such sharing complies with all Applicable Law and the rules of the relevant external platform;
    2. You shall not represent, expressly or impliedly, that the Content is endorsed by, certified by, or constitutes advice from, the Company or any of its Group Companies;
    3. You shall not modify, remove, distort, obscure, or interfere with any disclaimers, watermarks, attributions, branding, or risk warnings that the Company may apply to shareable Content;
    4. You grant the Company permission to apply, embed, or overlay mandatory disclaimers, watermarks, branding, risk warnings, regulatory disclosures, and attribution marks on any Content shared outside INDsocial; and
    5. You shall comply with all advertising codes, finfluencer guidelines, and disclosure requirements applicable to You under Applicable Law (including those of SEBI, AMFI, ASCI, exchanges, and depositories).

    9.3 The Company shall not be liable for any consequence (including regulatory action against any User) arising from Content shared by You outside INDsocial.

  10. LICENCE TO USER CONTENT

    10.1 You retain ownership of all intellectual property rights in Your User Content (subject to third-party rights in any underlying material).

    10.2 By posting, uploading, or otherwise making available any User Content on INDsocial, You grant the Company and its Group Companies a worldwide, royalty-free, fully paid-up, non-exclusive, perpetual, irrevocable, sub-licensable, and transferable licence to host, store, cache, index, reproduce, modify, adapt, translate, publish, publicly perform, publicly display, distribute, communicate to the public, broadcast, and create derivative works of such User Content, in any media and through any channels now known or hereafter developed, for the purposes of operating, providing, improving, promoting, and marketing INDsocial, the App, and the Group Companies' services, including in advertising and promotional material.

    10.3 You represent and warrant that You own or have obtained all rights, consents, releases, permissions, and licences necessary to grant the licence in Clause 10.2 and to post Your User Content, and that the use of Your User Content as contemplated by these Terms will not infringe any third-party right or violate any Applicable Law.

    10.4 To the maximum extent permitted by Applicable Law, You waive any "moral rights" in Your User Content (including the right to attribution and integrity).

    10.5 The Company may retain copies of User Content removed by You or by the Company to the extent required for legal, regulatory, audit, dispute-resolution, security, or back-up purposes.

  11. INTELLECTUAL PROPERTY OF THE COMPANY

    11.1 All intellectual property rights in INDsocial, the App, and the Company's content (including all trademarks, logos, designs, software, look-and-feel, "INDmoney", "INDsocial", and related marks) are and shall remain the sole and exclusive property of the Company or its licensors.

    11.2 The Company grants You a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use INDsocial solely in accordance with these Terms. No other rights are granted, expressly or by implication.

    11.3 You shall not remove, modify, or obscure any copyright, trademark, or other proprietary notice on INDsocial.

  12. BROKING ACCOUNT LINKING AND DATA SHARING CONSENTS

    12.1 Several INDsocial features (including the ability to view Your trades, holdings, portfolios, returns, and PnL within INDsocial, and to post or share the same as User Content) require the Company to access, fetch, ingest, store, process, and display certain data relating to Your trading and investment activity from Your linked broking, demat, mutual fund, banking, or other financial accounts (including accounts maintained with the Company's Group Companies and/or with third-party stock brokers, depository participants, custodians, registrars and transfer agents, asset management companies, banks, and other financial institutions) (collectively, "Broking Data Sources").

    12.2 Express consent. By electing to link a Broking Data Source to INDsocial, or by using any INDsocial feature that requires Broking Data Sources, You expressly, knowingly, voluntarily, and unconditionally authorise, consent to, and instruct the Company to:

    1. connect to Your Broking Data Sources using credentials provided by You, through such technically and legally permitted authentication mechanisms as specified by the Company;
    2. periodically fetch, receive, ingest, refresh, and update from Your Broking Data Sources information including (without limitation) account number, demat account number, BO ID, client code, name, PAN (only to the extent strictly necessary), holdings, transactions, trade book, contract notes, order book, ledger, margin, charges, brokerage, taxes, dividends, corporate actions, profit-and-loss, mutual fund folios, bank balances, net worth aggregations, and similar information ("Broking Data");
    3. store, retain, process, analyse, aggregate, anonymise, pseudonymise, and otherwise use the Broking Data for the purposes of operating, providing, personalising, and improving INDsocial and Other Services, and detecting fraud, abuse, or misuse; and
    4. display the Broking Data, in original or processed form (including charts, summaries, screenshots, PnL cards, and tiles), to You within INDsocial and within the App.

    12.3 Consent to post and share. You further authorise the Company to enable You, at Your option and choice on a per-instance basis, to post, share, broadcast, or otherwise make available all or any part of Your Broking Data as User Content on INDsocial, on Your INDsocial profile, and (where You so elect) outside INDsocial in accordance with Clause 9. The Company shall provide reasonable user-interface controls allowing You to choose which Broking Data to post and when. Once posted, You acknowledge that other Users (and, where shared outside INDsocial, third parties) may view, save, screenshot, redistribute, repost, archive, or further share the same, and that the Company does not warrant the deletion, recall, or expungement of any such Broking Data once it has been shared by You as User Content.

    12.4 You acknowledge and agree that:

    1. the Company is not Your broker, depository participant, or custodian, and the Broking Data is fetched/displayed on a best-effort basis from Your Broking Data Sources, which remain Your contractual relationships;
    2. Broking Data displayed on INDsocial may be delayed, incomplete, inaccurate, or out of sync with Your actual broker/depository/RTA statements, and the broker/depository/RTA statement of record shall always prevail over any data displayed on INDsocial;
    3. You are solely responsible for the accuracy, lawfulness, and consequences of any Broking Data that You choose to post or share on INDsocial or outside, including any tax, regulatory, employer-policy, insider-trading, or fiduciary consequences;
    4. where required, You have obtained all necessary consents and complied with all employer, fiduciary, regulatory, or internal-policy obligations applicable to You before linking a Broking Data Source and before posting any Broking Data; and
    5. the Company may, with or without notice, temporarily or permanently suspend access to or use of Broking Data where so mandated by the relevant broker, depository, exchange, regulator, or Applicable Law, or in the event of any technical, security, or operational disruption.

    12.5 Withdrawal of consent. You may withdraw the consents granted under this Clause 12 at any time by disconnecting the relevant Broking Data Source from within the App settings or by writing to the Grievance Officer at the details set out in Clause 17. Withdrawal of consent shall operate prospectively only and shall not affect:

    1. Broking Data already lawfully fetched, stored, or processed prior to withdrawal;
    2. any User Content already posted by You containing Broking Data, which shall continue to be governed by Clauses 9 and 10; or
    3. the Company's right or obligation to retain Broking Data to the extent required by Applicable Law (including SEBI, exchange, depository, anti-money-laundering, and tax record-retention rules).

    Withdrawal of consent may result in degradation, suspension, or unavailability of certain INDsocial features.

  13. DATA PROTECTION, AND PRIVACY

    13.1 The processing of Your personal data in connection with INDsocial is governed by these Terms, the INDmoney Privacy Policy (which is incorporated by reference), the DPDP Act, and other Applicable Law.

    13.2 Identity of Data Fiduciary. For the purposes of the DPDP Act, INDmoney Tech Private Limited is the Data Fiduciary in respect of personal data processed via INDsocial, except where it acts as a Data Processor on behalf of a third-party Data Fiduciary, in which case the relevant third-party fiduciary's policies shall additionally apply.

    13.3 Categories of personal data processed. The Company may collect and process personal data including (without limitation): name; date of birth; gender; profile photograph and bio; contact details (email, mobile); PAN, KYC particulars, and identifiers shared by KRAs or regulators (to the extent strictly necessary); device information; IP address; geolocation (where enabled); usage logs, in-App behaviour, clicks, dwell time; chat, comment, and posting history; followers and following graph; Broking Data; and inferences and derived data therefrom (collectively, "Personal Data").

    13.4 Express, informed, free, specific, and unambiguous consent. By accepting these Terms and using INDsocial, You expressly, knowingly, voluntarily, freely, specifically, and unconditionally consent to the Company collecting, recording, organising, structuring, storing, retaining, adapting, altering, retrieving, consulting, using, aligning or combining, restricting, transmitting, disclosing, sharing, erasing, or destroying Your Personal Data, by manual or automated means, for the following specified purposes:

    1. creating, authenticating, and maintaining Your INDsocial profile and account;
    2. enabling the core features of INDsocial including posting, viewing, reacting to, sharing, and discovering User Content;
    3. connecting to Broking Data Sources, fetching Broking Data, and displaying, processing, and (where You elect) posting the same in accordance with Clause 12;
    4. personalising Your feed, recommendations, suggestions, search results, and notifications;
    5. sending transactional, service-related, and (where You have separately opted-in) marketing or promotional communications;
    6. measuring, analysing, and improving the performance and usability of INDsocial and Other Services, including via analytics, A/B testing, and machine-learning models;
    7. detecting, investigating, and preventing fraud, abuse, market manipulation, impersonation, security breaches, and other prohibited conduct;
    8. complying with regulatory, legal, audit, KYC/AML, tax, exchange, depository, and law-enforcement obligations; and
    9. any other purpose disclosed at the point of collection or otherwise lawfully permitted under the DPDP Act and other Applicable Law.

    13.5 Sharing and transfer of Personal Data. You consent to the Company sharing or transferring Your Personal Data to:

    1. Group Companies, for the purposes set out in Clause 13.4;
    2. third-party service providers, including cloud-hosting, analytics, communication, KYC, fraud-detection, payment, and customer-support providers, who are contractually bound by confidentiality and data-protection obligations;
    3. regulators, exchanges, depositories, KRAs, law-enforcement agencies, courts, tribunals, tax authorities, and other governmental authorities, where required by Applicable Law or in response to lawful requests;
    4. prospective or actual purchasers, investors, financiers, or successors in connection with any merger, acquisition, restructuring, or financing transaction; and
    5. other Users, where You have elected to make Personal Data (such as Your profile, Broking Data posted as User Content, or interactions) visible.

    13.6 Your rights as a Data Principal. Subject to the DPDP Act and Applicable Law, You have the right to:

    1. seek a summary of the Personal Data being processed and the processing activities undertaken;
    2. seek correction, completion, updating, and erasure of Personal Data (subject to retention obligations under Applicable Law);
    3. nominate another individual to exercise Your rights in the event of death or incapacity;
    4. access readily available means of grievance redressal as set out in Clause 17; and
    5. withdraw consent at any time, on the understanding that withdrawal shall operate prospectively, shall not affect prior lawful processing, may result in degradation or unavailability of features, and shall not displace processing required by Applicable Law.

    13.7 Security. The Company implements reasonable security safeguards consistent with the DPDP Act and Applicable Law to protect Personal Data. However, no system can guarantee absolute security, and You acknowledge that any transmission of Personal Data is at Your own risk.

    13.8 Retention. The Company shall retain Personal Data for as long as necessary for the purposes specified in Clause 13.4, or for such longer period as may be required under Applicable Law, after which it shall be erased or anonymised.

    13.9 Consent Manager. Where required and operational under the DPDP Act, You may also manage and withdraw Your consents through a registered Consent Manager.

  14. DISCLAIMERS

    14.1 INDSOCIAL IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, RELIABILITY, SECURITY, AND UNINTERRUPTED AVAILABILITY.

    14.2 THE COMPANY DOES NOT WARRANT OR REPRESENT THAT: INDSOCIAL WILL BE UNINTERRUPTED, ERROR-FREE, TIMELY, SECURE, OR FREE OF VIRUSES, MALWARE, OR OTHER HARMFUL COMPONENTS; DEFECTS, BUGS, OR ERRORS WILL BE IDENTIFIED OR CORRECTED WITHIN ANY GIVEN TIMEFRAME; ANY DATA DISPLAYED ON INDSOCIAL (INCLUDING MARKET DATA, PRICES, RETURNS, CHARTS, PNL AGGREGATIONS, HOLDINGS, AND ANALYTICS) IS ACCURATE, CURRENT, COMPLETE, OR FIT FOR ANY PURPOSE; INDSOCIAL WILL BE COMPATIBLE WITH ALL DEVICES, OPERATING SYSTEMS, BROWSERS, SCREEN SIZES, OR NETWORKS; OR ANY CONTENT (WHETHER POSTED BY YOU OR OTHERS) WILL BE PRESERVED, RETAINED, RETRIEVABLE, OR RECOVERABLE.

    14.3 YOU ACKNOWLEDGE AND ACCEPT THAT MARKET DATA AND ANY DATA FEEDS ON INDSOCIAL MAY BE DELAYED, INACCURATE, INCOMPLETE, OR SUBJECT TO ERRORS CAUSED BY THIRD-PARTY DATA PROVIDERS, EXCHANGES, DEPOSITORIES, TELECOMMUNICATIONS NETWORKS, OR OTHER FACTORS; INTERNET-BASED AND MOBILE-BASED SERVICES ARE INHERENTLY SUBJECT TO RISKS INCLUDING CONNECTIVITY FAILURES, PACKET LOSS, TRANSMISSION ERRORS, DELAYS, DOWNTIMES, HACKING, PHISHING, AND UNAUTHORISED ACCESS; ANY DECISION MADE, OR ACTION TAKEN, ON THE BASIS OF SUCH DATA OR SUCH SERVICES IS AT YOUR SOLE RISK; FEATURES MAY BE ADDED, MODIFIED, SUSPENDED, WITHDRAWN, OR DISCONTINUED AT ANY TIME WITHOUT NOTICE; UPDATES TO OPERATING SYSTEMS, DEVICES, OR APP STORE ENVIRONMENTS MAY TEMPORARILY OR PERMANENTLY AFFECT FUNCTIONALITY; AND THE COMPANY MAY SCHEDULE PLANNED OR EMERGENCY MAINTENANCE WINDOWS THAT AFFECT AVAILABILITY.

    14.4 THE COMPANY SHALL NOT BE RESPONSIBLE FOR ANY LOSS, DAMAGE, OR CLAIM ARISING FROM DEVICE INCOMPATIBILITY, NETWORK FAILURE, THIRD-PARTY SERVICES (INCLUDING APP STORES, HOSTING PROVIDERS, MARKET-DATA PROVIDERS, EXCHANGES, DEPOSITORIES, BANKS, KRAS, AND AUTHENTICATION PROVIDERS), FORCE MAJEURE, SCHEDULED OR UNSCHEDULED MAINTENANCE, CYBER-ATTACKS, DENIAL-OF-SERVICE ATTACKS, OR ANY OTHER EVENT OUTSIDE THE COMPANY'S REASONABLE CONTROL.

    14.5 SEBI-mandated standard warnings. You expressly acknowledge and accept the following standard warnings, which are deemed incorporated wherever Content is displayed on INDsocial:

    1. "Investments in securities market are subject to market risks. Read all the related documents carefully before investing."
    2. "Past performance of any security, scheme, strategy, person, or User on the platform is not indicative of, and does not guarantee, future returns or performance."
    3. "Registration granted by SEBI, membership of BSE Administration and Supervision Limited (BASL) (in case of Investment Advisers), and certification from the National Institute of Securities Markets (NISM) in no way guarantee performance of the intermediary or provide any assurance of returns to investors."
    4. "The securities, scrips, strategies, or portfolios quoted by way of example or shown by way of illustration on INDsocial are for educational purposes only and are not recommendatory."
    5. Any other warning, caveat, or disclaimer prescribed by SEBI, the Stock Exchanges, AMFI, the depositories, or any other regulator from time to time, which shall be deemed incorporated by reference.

    14.6 No advisory, research, broking, distribution, or PMS by INDsocial. INDsocial is solely a user-generated social-content platform and is not registered with SEBI as an Investment Adviser, Research Analyst, Stock Broker, Portfolio Manager, or Mutual Fund Distributor, and INDsocial does not provide investment advisory, research, broking, portfolio management, or distribution services. Where any such services are made available through the App, they are provided separately by the relevant Group Company holding the appropriate SEBI / AMFI / Stock Exchange registration, under the separate product Terms and Conditions applicable to such service, and not via INDsocial.

    14.7 No solicitation through User Content. No User Content on INDsocial constitutes solicitation by the Company or its Group Companies, in any jurisdiction, of any offer to subscribe for, purchase, sell, deal in, or recommend any security, scheme, or financial product. Where any User makes any recommendation, suggestion, or call, the User does so in their personal capacity and not as an agent, representative, employee, or authorised person of the Company or its Group Companies.

    14.8 Hypothetical, simulated, and back-tested results. PnL screenshots posted on INDsocial are subject to material inherent limitations. They may not reflect actual trading, do not factor in liquidity, slippage, brokerage, exchange charges, statutory levies, taxes, financing costs, or behavioural costs, and frequently materially overstate the returns that would actually have been achieved. Past or hypothetical performance is not, and must not be relied upon as, an indicator of future performance.

    14.9 Returns and PnL are User-claimed. Returns, PnL, holdings, and performance figures posted by Users represent figures self-reported by the relevant User. The Company does not independently verify, audit, certify, attest, vouch for, or guarantee such figures (including in respect of any User holding a Verified Badge) and expressly disclaims all responsibility for any inaccuracy, misrepresentation, omission, or fabrication therein.

    14.10 Mutual fund disclaimer. Mutual fund investments are subject to market risks. Read all scheme-related documents carefully before investing. The Company is not the AMC, trustee, sponsor, or distributor of any mutual fund scheme referenced in any User Content and shall have no liability for any investment decision made by You in respect of any such scheme on the basis of Content viewed on INDsocial.

    14.11 Foreign securities / US stocks disclaimer. Investments in foreign securities (including US stocks, ETFs, and other instruments) carry additional risks, including currency, taxation, regulatory, custody, settlement, withholding, estate-duty, and geopolitical risks. Such investments are governed by the Liberalised Remittance Scheme of the RBI, the Foreign Exchange Management Act, 1999, and other Applicable Law, and You are solely responsible for compliance therewith. Content on INDsocial relating to foreign securities does not constitute an offer or solicitation in any jurisdiction where such offer or solicitation would be unlawful.

    14.12 No tax, legal, or accounting advice. Nothing on INDsocial constitutes tax, legal, accounting, succession, or estate-planning advice. You should consult appropriately qualified professionals before acting on any Content.

    14.13 Algorithmic, AI, and recommendation features. Where INDsocial uses algorithms, machine-learning, or artificial-intelligence features (including but not limited to recommendation engines, search relevance, content moderation, or content-generation features), You acknowledge that such features are statistical and probabilistic in nature, may produce incomplete, inaccurate, biased, outdated, or otherwise erroneous outputs, and must not be relied upon as a basis for any investment, financial, or commercial decision.

    14.14 Third-party content. INDsocial may include or link to content, data, news, charts, advertisements, or websites of third parties. The Company does not endorse, control, monitor, or verify such third-party content and disclaims all liability in respect thereof. Your engagement with any third party is at Your sole risk.

    14.15 Regulatory disclosures. Where the Company or any Group Company is required by SEBI, exchanges, depositories, AMFI, RBI, or any other regulator to make any specific disclosure or display any specific warning in connection with INDsocial or any feature thereof (including finfluencer guidelines, advertising codes, or risk-warning circulars), such disclosures shall be deemed incorporated herein by reference and shall be accessible via the App's "Disclosures" page.

  15. LIMITATION OF LIABILITY

    15.1 To the maximum extent permitted by Applicable Law, in no event shall the Company, its Group Companies, or their respective directors, officers, employees, agents, licensors, or service providers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, loss of goodwill, loss of business, loss of data, trading losses, opportunity cost, or business interruption, whether based on warranty, contract, tort (including negligence), strict liability, or any other legal theory, arising out of or in connection with INDsocial, any User Content, or these Terms – even if the Company has been advised of the possibility of such damages.

    15.2 Notwithstanding anything to the contrary in these Terms, the aggregate liability of the Company arising out of or in connection with INDsocial or these Terms, however arising and whether in contract, tort (including negligence), or otherwise, shall not exceed INR 5,000 (Indian Rupees Five Thousand only).

    15.3 You acknowledge that the foregoing limitations and exclusions are essential elements of the Agreement, that they reflect a reasonable allocation of risk, and that the Company would not provide INDsocial without such limitations and exclusions.

    15.4 Nothing in this Clause limits any liability that cannot, under Applicable Law, be limited or excluded.

  16. INDEMNIFICATION

    16.1 You agree to defend, indemnify, and hold harmless the Company, its Group Companies, and their respective directors, officers, employees, agents, licensors, and service providers from and against any and all claims, demands, suits, proceedings, actions, liabilities, losses, damages, fines, penalties, costs, and expenses (including reasonable legal and professional fees) arising out of or in connection with:

    1. Your User Content;
    2. Your access to, use of, or misuse of INDsocial;
    3. Your breach of these Terms, any Applicable Law, or any third-party rights;
    4. any regulatory action, notice, summons, show-cause, inquiry, or proceeding by SEBI, any Stock Exchange, depository, AMFI, RBI, tax authority, law-enforcement agency, or any other authority, to the extent attributable to Your conduct or Your Content;
    5. any dispute between You and any other User or third party;
    6. Your fraud, wilful misconduct, gross negligence, or violation of Applicable Law; and
    7. any breach by You of the consents, representations, or undertakings under Clauses 12 (Broking Account Linking) and 13 (Data Protection and DPDP).

    16.2 The Company reserves the right, at its own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by You, in which case You shall cooperate with the Company's defence.

  17. GRIEVANCE REDRESSAL

    17.1 In compliance with the Information Technology Act, 2000, the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, the Consumer Protection (E-Commerce) Rules, 2020, the Company has appointed the following:

    17.2 Complaints will be acknowledged within twenty-four (24) hours of receipt and, save as otherwise required under Applicable Law, resolved within fifteen (15) days from receipt. Complaints relating to the categories of objectionable Content set out in Clauses 7.2 and 8 shall be acted upon within twenty-four (24) hours.

    17.3 You may also raise grievances relating to Other Services in accordance with the grievance-redressal mechanism specified in the relevant product Terms and Conditions and on the SEBI SCORES portal (for SEBI-regulated services) where applicable. Data-protection grievances may additionally be escalated to the Data Protection Board of India in accordance with the DPDP Act.

  18. SUSPENSION AND TERMINATION

    18.1 The Company may, at its sole discretion, with or without notice and without liability, suspend, restrict, deplatform, or terminate Your access to INDsocial (in whole or in part), or remove any of Your Content, if: (a) You breach these Terms or any Applicable Law; (b) the Company receives a credible complaint, court order, regulatory direction, or law-enforcement request; (c) Your conduct poses, in the Company's reasonable opinion, a risk to other Users, the Company, its Group Companies, or any third party; (d) the Company believes such action is necessary to protect the Company's intermediary safe-harbour, regulatory standing, or reputation; or (e) for any other reason the Company deems appropriate.

    18.2 You may terminate Your use of INDsocial at any time by deactivating Your INDsocial profile, subject to the Privacy Policy.

    18.3 Upon termination, Your right to use INDsocial shall cease immediately. Clauses 4, 5, 6, 9.3, 10, 11, 12.4, 12.5, 13, 14, 15, 16, 17, 19, and 20 shall survive termination.

  19. CHANGES TO THESE TERMS

    19.1 The Company may amend these Terms at any time. Updated Terms will be posted within the App with a revised "Last Updated" date.

    19.2 Your continued use of INDsocial after the effective date of any update constitutes Your acceptance of the revised Terms. If You do not agree to any change, You must stop using INDsocial.

  20. GOVERNING LAW, JURISDICTION, AND DISPUTE RESOLUTION

    20.1 These Terms shall be governed by and construed in accordance with the laws of the Republic of India.

    20.2 Subject to Clause 20.3, the competent courts at New Delhi shall have exclusive jurisdiction over any disputes arising out of or in connection with these Terms, to the exclusion of all other courts.

    20.3 Any dispute, controversy, or claim arising out of or in connection with these Terms shall first be sought to be resolved by good-faith negotiation between You and the Company. Failing resolution within thirty (30) days of written notice, the dispute shall be referred to, and finally resolved by, arbitration under the Arbitration and Conciliation Act, 1996, as amended from time to time. The arbitration shall be conducted by a sole arbitrator appointed by the Company. The seat and venue of arbitration shall be New Delhi, India; the language of arbitration shall be English; and the arbitral award shall be final and binding on the parties. Either party may seek interim/conservatory relief from a competent court.

    20.4 Nothing in this Clause shall prevent the Company from seeking injunctive or equitable relief in any court of competent jurisdiction.

  21. MISCELLANEOUS

    21.1 Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be deemed modified to the minimum extent necessary to make it enforceable.

    21.2 No waiver. No failure or delay by the Company in exercising any right, power, or remedy shall operate as a waiver thereof, nor shall any single or partial exercise preclude any other or further exercise.

    21.3 Assignment. You may not assign, transfer, or sub-licence Your rights or obligations under these Terms without the Company's prior written consent. The Company may assign, transfer, or sub-licence its rights and obligations freely (including to any Group Company, successor, or acquirer).

    21.4 Relationship. No agency, partnership, joint venture, employment, or franchise relationship is intended or created between You and the Company by these Terms.

    21.5 Third-party rights. No person who is not a party to these Terms (other than Group Companies, which are expressly entitled to enforce these Terms) has any right to enforce them.

    21.6 Force majeure. The Company shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, including without limitation acts of God, war, terrorism, riot, pandemic, epidemic, fire, flood, earthquake, governmental or regulatory action, exchange/depository shutdown, internet or telecom outage, power failure, denial-of-service attack, cyber-attack, or labour dispute.

    21.7 Entire agreement. These Terms, together with the Privacy Policy, community guidelines (as applicable), App-wide Terms, and other documents referenced herein, constitute the entire agreement between You and the Company in respect of INDsocial and supersede all prior understandings, communications, and agreements (whether written or oral) on the subject.

    21.8 Notices. Notices to the Company shall be in writing and addressed to support@indmoney.com. Notices to You may be sent via in-App notification, email, or SMS to Your registered contact details.

    21.9 Language. These Terms are executed in English, which shall be the controlling language in case of any translation.
