Objectives of IPO

  1. EAAA India Alternatives Limited has filed its Red Herring Prospectus for an Initial Public Offering aggregating up to ₹1,200 crore. The entire issue is structured as an Offer for Sale by the promoter selling shareholder, Edelweiss Securities and Investments Private Limited, with no Fresh Issue component included. Because all net proceeds from the sale go directly to the promoter selling shareholder, the company itself will not receive any capital from this offer. The company has formally outlined the purposes of the public offering under the Objects of the Offer section, and these are the following objectives.
  2. The company has disclosed a total of two objectives for the public issue. One objective is to execute the Offer for Sale of equity shares aggregating up to ₹1,200 crore by the promoter selling shareholder. In practical terms, this allows the promoter to sell a portion of its equity holding to public investors. Since all funds from this transaction go directly to the selling shareholder, this objective does not provide fresh capital to the company, leaving its daily operations, working capital requirements, debt obligations, and financial structure completely unaffected.
  3. Another objective is to achieve the benefits of listing the equity shares on the BSE and NSE stock exchanges. In practical terms, listing establishes an official public market for the company's equity shares in India and provides liquidity for its shareholders. Based on the company's stated requirements, becoming a publicly listed entity is also expected to enhance its overall brand image and visibility among institutional and retail investors, while establishing public market governance without impacting its capital requirements or financial leverage.

Total Assets₹1,769.66₹2,085.07₹2,170.28
Total Profit₹175.16₹229.78₹265.20

Total income expanded steadily over the three years, rising from ₹584.25 crore in FY24 to ₹786.54 crore in FY25 (up 34.62%) and ₹963.76 crore in FY26 (up 22.53%). Revenue from operations increased from ₹492.58 crore to ₹869.54 crore over the same period. This top-line expansion was driven by fee-paying assets under management growing from ₹30,398.01 crore to ₹44,710.44 crore, which lifted recurring management fees and performance-linked returns as funds exceeded hurdle rates.

Operating profitability grew in tandem, with EBITDA rising from ₹162.85 crore in FY24 to ₹313.39 crore in FY26, expanding the operational EBITDA margin from 33.06% to 36.04%. Profit after tax increased from ₹175.16 crore in FY24 to ₹229.78 crore in FY25 (up 31.18%) and reached ₹265.20 crore in FY26 (up 15.41%). The overall PAT margin slightly moderated from 29.98% in FY24 to 27.52% in FY26 due to performance-linked employee incentives and a statutory labor expense of ₹9.88 crore.

The balance sheet strengthened considerably, as net worth grew from ₹729.48 crore in FY24 to ₹1,075.54 crore in FY26, supported by cash and bank balances of ₹188.09 crore against total debt of ₹441.03 crore. Crucially, operating cash flows rebounded from negative ₹13.27 crore in FY24 and negative ₹120.17 crore in FY25 to positive ₹235.24 crore in FY26. This turnaround confirms that underlying fund realisations and exits are now translating paper earnings into actual cash flow.

Return metrics highlight a high-quality, capital-efficient model, delivering a return on equity of 27.30% in FY24, 27.10% in FY25, and 25.97% in FY26. Over the same timeframe, the debt-to-equity ratio improved from 0.61 times to 0.41 times, reflecting disciplined leverage and lower solvency risks. Operating expenses remained well-controlled with a cost-to-income ratio of 63.84%, demonstrating strong operating leverage as the asset base expands.

Strengths and Risks

Strengths

Strengths

  • The company is an established alternative asset manager with over 17 years of experience, holding a total assets under management of ₹95,344.88 crore and fee-paying assets under management of ₹48,623.18 crore as of June 30, 2026. Its fee-paying assets grew at a compound annual growth rate of 23.43% over the last three financial years, reaching ₹44,710.44 crore in FY26. This extensive operational scale provides a strong competitive position in India's expanding alternative investments market, ensuring steady fee income and market credibility to capture capital inflows.

  • Operating as a multi-strategy platform, the company offers diverse products across Real Assets with an AUM of ₹39,704.54 crore across 10 Active Funds and Private Credit with an AUM of ₹53,716.61 crore across 16 Active Funds as of June 30, 2026. Four of its flagship verticals are in their third and fourth fund series, accounting for over 64% of total assets under management. This multi-vertical diversification protects the business from economic downturns in specific sectors, delivering stable management fee income and predictable cash flows.

  • The company maintains 11,009 client relationships globally and in India as of June 30, 2026, balanced between institutional clients at 49.32% of assets under management and non-institutional clients at 50.68%. Crucially, 77% of total assets under management comes from 1,493 repeat clients who have invested in more than one fund series. This high level of client retention demonstrates strong investor trust, which lowers customer acquisition costs and enables smoother capital raising for future fund launches.

  • Through its wholly-owned subsidiary, Sekura India Management Limited, the company operates a dedicated 58-member asset management team managing real assets across 16 Indian states. As of June 30, 2026, this team oversees 3.10 million square feet of commercial office space, 4,586 lane kilometers of roads, 1,835 circuit kilometers of transmission lines, and 1.73 gigawatts of solar assets. Direct on-ground asset operating capabilities allow the firm to improve operational efficiency, optimize costs, and enhance returns on portfolio assets.

  • The business utilizes in-house and integrated technology systems to automate deal pipelines, fund accounting operations, client relationship management, and approval workflows. These digital tools automate complex calculations such as internal rates of return and track deliverable deadlines across client accounts. By streamlining administrative processes and reducing manual errors, technology allows the company to scale its asset base efficiently while keeping operating expenses per asset under control.

  • The company applies an integrated risk management framework featuring multi-tiered independent reviews by specialized credit, risk, and investment committees, supported by external legal, technical, and environmental experts. Detailed evaluations are conducted on counterparty risks, cash flows, and collateral quality before making investments. This structured diligence process helps prevent asset quality deterioration, minimizes default risks in private credit investments, and safeguards investor capital.

Risks

Risks

  • A major financial concern is the company's reliance on variable additional returns, which accounted for 30.14% of total income (₹290.47 crore) in FY26 and 32.41% in the three months ended June 30, 2026. These returns are recognized only after funds exceed specific performance hurdles and are actually collected much later when underlying portfolio assets are sold. This creates unpredictable cash flow timing and significant gaps between reported accounting profits and actual cash receipts.

  • The business faces notable client concentration risk, with its top 10 clients contributing 26.20% of total fee-paying assets under management as of June 30, 2026. Because funds rely on clients to meet capital calls for deal execution, non-payment or delayed commitments by key institutional investors can disrupt investment schedules. Such default events would directly reduce asset deployment, impair fund returns, and diminish predictable management fee streams.

  • Portfolio valuation subjectivity and historical negative operating cash flows present ongoing liquidity and operational challenges. Most underlying investments in private credit and real assets are illiquid without active trading markets, depending heavily on subjective pricing models. Consequently, lower realized asset values during exits can trigger profit write-downs, while prolonged negative cash flows from general partner commitments can restrict strategic business expansion.

  • Fund operations depend heavily on key advisors and senior executives who possess specialized deal sourcing and investment management expertise. Governing fund documentation contains strict key person clauses requiring designated leaders to devote specified time to fund management. The departure of key personnel without approved replacements can legally suspend capital calls or terminate a fund's investment period, halting deal deployment and damaging fee revenues.

  • The company operates in a strictly regulated environment oversighted by SEBI, RBI, and foreign regulatory authorities. Regulatory inspections have previously cited minor compliance delays, while certain group entities face separate regulatory orders. Any future non-compliance, regulatory sanctions, or adverse findings against promoters could result in financial penalties, reputational damage, and restrictions on launching new funds.

  • Substantial business concentration in Real Assets (57.67% of fee-paying assets under management at ₹28,039.91 crore) and Private Credit (39.64% at ₹19,272.42 crore) as of June 30, 2026 exposes performance to economic cycles. Borrower defaults, construction delays in real estate projects, regulatory tariff changes, and interest rate fluctuations can reduce project yields. These sector-specific downturns lower overall fund performance, directly reducing management fees and variable returns.
