Knowledge Realty Trust units fell more than 2%, after Blackstone-linked entities announced an Offer for Sale to sell up to a 25.03% stake in the real estate investment trust.

The maximum OFS is valued at nearly ₹11,988 crore at the floor price of ₹108 per unit. Given the large number of units being offered at a discount, the announcement has created short-term pressure on the market price.

However, this is not a fresh fundraising exercise by Knowledge Realty Trust. The money raised will go to the selling entities, and the REIT itself will not receive any funds.

What Is an Offer for Sale?

An Offer for Sale allows an existing shareholder to sell shares or units of a listed entity through the stock exchange.

In an OFS, the company or REIT does not issue new units. Existing units are transferred from the seller to other investors. This is different from a fresh issue, where new units are created to raise money for the entity.

In this case, four Blackstone-linked entities are selling part of their Knowledge Realty Trust holdings. The total number of outstanding units will remain unchanged.

This means existing unitholders will not face dilution. However, the availability of a large number of units at a discounted price can create short-term pressure on the market price.

A retail investor is an individual placing bids worth not more than ₹2 lakh across both exchanges. Retail investors can enter a specific bid price or choose the cut-off price.

The floor price is the minimum price at which the sellers are willing to sell units. It is not necessarily the final allotment price. Strong demand can result in a higher allocation price.

A minimum of 10% of the offer units is reserved for retail investors. At least 25% is reserved for mutual funds and insurance companies, subject to valid bids.

What Does Knowledge Realty Trust Do?

Knowledge Realty Trust is an office-focused Real Estate Investment Trust backed by the Sattva Group and Blackstone.

A REIT allows investors to own units representing a portfolio of income-generating properties. Rental income earned from these properties is used to make distributions to unitholders.

Knowledge Realty Trust owns office properties across Bengaluru, Mumbai, Hyderabad, Chennai, Gurugram and GIFT City in Ahmedabad. Its portfolio includes six city-centre offices and 24 business parks and centres.

Its tenants include multinational companies, Global Capability Centres and large Indian businesses. As of June 2026, its portfolio covered around 46 million square feet of leasable area and had a gross asset value of approximately ₹67,400 crore.

Is the ₹108 OFS Floor Price Attractive?

Knowledge Realty Trust units closed at ₹113.41 before the OFS opened. The ₹108 floor price represents a discount of approximately 4.8% to the previous closing price.

The units fell more than 2% to around ₹111 on August 31, narrowing the difference between the market price and the floor price to less than 3%.

Knowledge Realty Trust reported a net asset value of ₹123.61 per unit as of March 31, 2026. The ₹108 floor price is approximately 12.6% below this reported NAV.

However, NAV is not a guaranteed market price. A REIT can trade below NAV because of interest rates, expected distribution growth, property occupancy, debt levels and market sentiment.

The OFS floor is also 8% above the REIT’s IPO price of ₹100 per unit. Therefore, the sellers are offering units below the recent market price but above the original IPO price.

Why Did Knowledge Realty Trust Units Fall?

The main reason for the decline is the large supply of units entering the market.

The base offer represents 16.69% of Knowledge Realty Trust’s total units. If the additional option is exercised, the sale will increase to 25.03%.

At the floor price, the maximum offer is worth nearly ₹11,988 crore. This is equivalent to almost 24% of the REIT’s market capitalisation of around ₹50,000 crore before the OFS.

Since investors can bid through the OFS at a price lower than the previous market price, some may avoid purchasing units from the open market. Existing investors may also sell if they expect the market price to move closer to the OFS price.

This can create a temporary supply overhang. However, it does not directly affect the properties, rental income or operating performance of the REIT.

Will the OFS Dilute Existing Unitholders?

No, the OFS will not dilute existing unitholders. Knowledge Realty Trust is not issuing new units. The transaction only transfers existing units from Blackstone-linked entities to public and institutional investors.

The number of outstanding units will remain unchanged. Therefore, there is no direct reduction in earnings or distribution per unit because of the OFS.

However, sponsor ownership will fall significantly if the full additional option is exercised. Investors should track the final stake retained by Blackstone-linked entities after the transaction.

How Is Knowledge Realty Trust Performing?

Knowledge Realty Trust reported healthy operating growth in Q1 FY27. Revenue increased 15% year on year to ₹1,243 crore, while net operating income increased 15% to ₹1,112 crore.

Committed occupancy improved from 92% to 93%, while gross leasing stood at 1.4 million square feet. The REIT announced a distribution of ₹1.70 per unit, taking the total distribution to approximately ₹752 crore.

Its loan-to-value ratio stood at around 18%, providing room to borrow for acquisitions without immediately issuing new units.

The REIT also has around 25% mark-to-market potential in its portfolio. This means some existing leases are below current market rent, creating an opportunity to increase rental income when these leases are renewed.

However, committed occupancy and economic occupancy are different. Committed occupancy stood at 93%, while economic occupancy was around 87% at the end of Q1 FY27.

Committed occupancy includes properties that have been leased but may not yet be generating full rent. The gap should gradually reduce as tenants occupy the space and rental payments begin.

What Should Investors Track After the OFS?

The OFS is primarily an ownership event. The long-term performance of Knowledge Realty Trust will depend on its ability to grow rental income and distributions. Investors should track four key factors:

  • OFS demand: Strong institutional demand can help absorb the large supply of units and reduce the duration of the price pressure.
  • Sponsor holding: The final stake sold will show how much exposure Blackstone-linked entities continue to retain.
  • Occupancy and leasing: The REIT needs to convert committed occupancy into rent-paying economic occupancy while maintaining leasing momentum.
  • Distribution growth: Future investor returns will depend heavily on rental growth, borrowing costs and the distributions paid per unit.

Knowledge Realty Trust OFS: Short-Term Pressure or Long-Term Opportunity?

The Knowledge Realty Trust OFS creates a significant short-term supply overhang because Blackstone-linked entities may sell as much as 25.03% of the REIT. The discounted floor price can keep the market price under pressure as investors compare open-market purchases with the OFS opportunity.

However, the OFS does not dilute existing investors and does not directly affect the REIT’s assets, rental income or distributions. It can also increase public ownership and improve the liquidity of the units over time.

The bigger question is why the sale is much larger than the minimum required to reach SEBI’s 25% public unitholding threshold. While compliance is the official purpose, the transaction is also a major monetisation event for Blackstone-linked entities.

For investors, the long-term investment case will depend less on the OFS and more on occupancy, rental growth, distributions, borrowing costs and the REIT’s ability to generate growing cash flows from its office portfolio.
