India's natural gas market is much bigger than the business currently handled by the Indian Gas Exchange (IGX). That gap could create a growth opportunity for the company, but it also raises an important question: can more gas trading move to its platform?

IGX has received SEBI's approval to proceed with its IPO. However, this is not a conventional IPO in which a company raises money to expand its business. The issue is entirely an offer for sale (OFS), meaning the existing promoter, Indian Energy Exchange (IEX), will sell its shares and receive the proceeds.

To understand what investors are getting into, it is important to look beyond the IPO announcement and understand IGX's business, profitability and growth prospects.

Why Is IGX Bringing an IPO?

IGX plans to offer up to 1.67 crore shares through an OFS. IEX currently owns 47.28% of the gas exchange and plans to reduce its holding to 25% by December 31, 2026.

The reason is regulatory compliance. Under the applicable rules, a promoter that is not a member of the gas exchange must bring its shareholding within the prescribed limit.

IGX will not receive fresh money from the IPO. Instead, the listing will allow investors to buy shares in the business after its listing, while IEX will receive the money from the shares it sells in the IPO.

IGX will list only on the BSE because NSE Investments Limited, a wholly owned subsidiary of NSE, owns 24.75% of the company. This makes IGX an associate of NSE, and SECC Regulations restrict a stock exchange from listing its own associate company. The restriction helps avoid conflicts of interest.

The IPO's final price band and opening dates will be important details to watch as the process moves forward.

Can IGX Turn a 3% Market Share into a Growth Opportunity?

IGX operates India's first authorised national-level gas exchange for physical delivery of natural gas. It provides an electronic platform where gas buyers and sellers can trade.

But there is an important distinction between its position in exchange-based trading and its share of India's total gas consumption.

In FY26, IGX facilitated the trading of approximately 1.94 billion cubic metres (BCM) of gas, equivalent to 2.82% of India's total natural gas consumption of 68.54 BCM.

In simple words, IGX has a leading position in organised exchange-based gas trading, but most gas in India is still bought and sold through private agreements between buyers and sellers.

Think of IGX as a dedicated marketplace. The marketplace already exists, but most buyers and sellers still prefer to make deals privately.

If more gas trading shifts to the exchange, IGX could handle a larger volume of transactions. However, this shift is an opportunity, not a certainty.

How Does IGX Make Money?

Unlike a gas producer, IGX does not need to drill wells or own the gas it trades. It operates a technology-based marketplace that connects buyers and sellers. It earns revenue by facilitating transactions.

This business model helps explain its profitability. Once the platform and systems are in place, additional trading activity may not require operating costs to increase at the same pace.

In FY26, IGX reported:

  • Operating revenue: ₹61.01 crore
  • Profit after tax: ₹42.02 crore
  • Net profit margin: Approximately 68.88%

This means IGX retained roughly ₹69 as profit after tax for every ₹100 of revenue, based on these figures.

Such profitability is attractive, but investors should not assume that margins will remain unchanged as the business grows. They also need to consider the price at which the company offers its shares.

What Could Drive IGX's Future Growth?

Two developments could help IGX expand.

First, India wants to increase natural gas's share of its energy mix from around 7% to 15% by 2030. If this target translates into higher gas consumption, it could create a larger market for gas trading.

Second, more buyers and sellers could move from private contracts to exchange-based trading. This would allow IGX to handle a greater share of the country's gas transactions.

The draft prospectus and related industry projections point to substantial potential growth in exchange-traded gas volumes by FY30.

However, higher national gas consumption alone will not guarantee higher IGX revenue. The company also needs more buyers and sellers to use its platform, supported by gas availability, pipeline infrastructure, and favourable regulations.

What Are the Risks Investors Should Watch?

The growth opportunity comes with three important risks.

  • Dependence on infrastructure: IGX facilitates the physical delivery of gas. If pipelines or delivery facilities face constraints, trading opportunities can be affected.
  • Dependence on major customers: A significant share of revenue comes from a relatively small group of trading participants. Losing business from major participants could affect performance.
  • Dependence on regulation: Rules governing gas trading, pipeline access and market participation can influence how quickly exchange-based trading expands.

These risks matter because IGX's growth depends not only on its technology but also on how India's wider gas market develops.

What Should Investors Conclude From the IGX IPO?

IGX offers exposure to a specialised business with strong reported profitability and a potential opportunity to benefit from the expansion of India's gas market.

Its key growth question is not simply whether India will consume more natural gas. It is whether a larger share of that gas will be traded through its exchange.

That distinction is crucial. A large potential market does not automatically translate into higher revenue or profits.

For retail investors, the next important step is to examine IGX's IPO price band and valuation when they are announced. Only then can its profitability and growth prospects be assessed against the price investors are being asked to pay.
